These Terms of Service ("Terms") govern your access to and use of the SimplifiVAs website at simplifivas.com and any related lead-generation forms, calls, or services provided by SimplifiVAs LLC ("SimplifiVAs," "we," "us," or "our"). By using the Site or submitting a form, you agree to these Terms.
1. Eligibility
You must be at least 18 years old and authorized to enter into contracts on behalf of the business you represent. The Site is intended for use by US-based businesses.
2. Nature of Service
SimplifiVAs is a virtual assistant staffing company. We are not an insurance carrier, brokerage, or law firm. Nothing on the Site constitutes insurance, legal, tax, or professional advice.
3. TCPA & Communications Consent
By submitting your information through any form on this Site, you expressly consent, in writing, to receive telephone calls (including calls made using an automatic telephone dialing system, artificial or prerecorded voice), text messages, and emails from SimplifiVAs, its placement specialists, contractors, agents, and service providers, at the telephone number(s) and email address(es) you provided, for marketing, sales, service, transactional, and follow-up purposes.
You understand that:
- Consent is not a condition of purchasing any goods or services;
- Message and data rates may apply and message frequency will vary;
- You may revoke consent at any time by replying STOP to any SMS message, following opt-out instructions in any email, or emailing chris@simplifivas.com;
- Revoking consent will not affect the lawfulness of communications sent before your request is processed.
4. Accurate Information
You agree that the information you submit is truthful, accurate, and that you are the subscriber or customary user of the telephone number provided.
5. Acceptable Use
You will not: (a) use the Site for any unlawful purpose; (b) impersonate any person or entity; (c) interfere with the operation or security of the Site; or (d) attempt to reverse-engineer or scrape the Site.
6. Intellectual Property
All content on the Site, including text, graphics, logos, and software, is owned by SimplifiVAs or its licensors and is protected by US and international intellectual property laws. Nothing in these Terms grants you a license to use our marks without written permission.
7. Disclaimers
The Site and services are provided "AS IS" and "AS AVAILABLE" without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. 8. Limitation of Liability
To the fullest extent permitted by law, SimplifiVAs and its officers, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, arising out of or related to your use of the Site or services. Our aggregate liability shall not exceed one hundred US dollars ($100).
9. Indemnification
You agree to indemnify and hold harmless SimplifiVAs from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising from your breach of these Terms or misuse of the Site.
10. Binding Arbitration & Class-Action Waiver
Please read this section carefully. It affects your legal rights. Any dispute, claim, or controversy arising out of or relating to these Terms, the Site, or our services shall be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules and Consumer Arbitration Rules where applicable. Arbitration shall take place in Palm Beach County, Florida, unless the parties agree otherwise. The arbitrator's decision shall be final and enforceable in any court of competent jurisdiction.
You and SimplifiVAs each waive the right to a jury trial and to participate as a plaintiff or class member in any purported class, collective, or representative action. If any part of this Section 10 is found unenforceable, the remainder shall remain in full force.
11. Governing Law
These Terms are governed by the laws of the State of Florida, without regard to conflict-of-laws principles. Subject to Section 10, the state and federal courts located in Palm Beach County, Florida shall have exclusive jurisdiction over any matter not subject to arbitration.
12. Changes
We may modify these Terms at any time by posting the revised version on this page. Your continued use of the Site after posting constitutes acceptance of the revised Terms.
